This Agreement is entered into by and between You (“Client”) and Codeeyo (“Codeeyo”), a division of [L]earned Media.
Codeeyo will perform various website-related updates, maintenance and management services with the following stipulations:
- In advance of Codeeyo performing work, Client shall purchase hours directly via Codeeyo.com
- Codeeyo will track all hours diligently and may upon request, provide advance estimates to ensure expectations are aligned relative to the time and effort required to complete various tasks
- If additional hours are needed to complete any Client request(s), Codeeyo will notify Client, and hours are to be approved and paid for in advance by Client
- Client acknowledges that in order for Codeeyo to provide services at the most efficient and affordable rate, all requests and service-related communications shall take place strictly by email via support@codeeyo.com, however, on occasion exceptions may be made for phone or video calls and will be at the discretion of Codeeyo
- Client acknowledges that Codeeyo is not obligated to perform services outside of normal business hours (i.e. 9am to 5pm Mon-Fri). Any work performed by Codeeyo outside of normal business hours may be subject to an overage of 1.5x markup on the hours (i.e. 1 hour may be treated as 1.5 hours). However, if applicable, Codeeyo is required to notify Client and Client has the option to approve or decline
- Client hereby grants Codeeyo access to review, audit and edit Client’s website including its backend code environment/plugins/cms/other for the purpose of providing various estimates or services
- Codeeyo encourages the Client to provide only the access-level required, and to create a unique login (username and password) for the purposes of properly tracking any potential updates and/or edits made on the website(s)
- Client hereby acknowledges that Codeeyo is not a website hosting company, platform or managed service provider (MSP), as such Codeeyo is waived entirely of any liability relating to potential website breakage, content loss, downtime or security breaches that may occur as a result of Codeeyo’s work
- Codeeyo encourages and requires any Client whose business is in any way reliant on their website for revenue (i.e. ecommerce, financial services, digital products/services, etc.) to have a dedicated hosting contract and MSP
- In the event of a website-related emergency, the MSP, not Codeeyo, will i) be responsible for troubleshooting ii) have full access to the website front and backend including backups and can restore functionality in the most immediate manner. Codeeyo may collaborate with the Client’s MSP to ensure that the website is working properly and make their best efforts to avoid the aforementioned occurrences
- In the event that Client-requested work requires custom design, creative or other supplemental services, Codeeyo reserves the right to loop in a Project Manager to coordinate various project elements and resources. Rates for these additional resources vary depending on level, and are to be agreed to in advance by Client
- Codeeyo shall notify and receive written approval from Client in advance of purchase for any and all fees/licenses for third party costs needed to execute the project and all such fees shall be the responsibility of Client (i.e. software applications, tools, plugins, or other that requires a license, licensing fee or similar)
- Codeeyo reserves the right to publicly promote and/or share the project work performed with their email list, on their website or via various social media, unless otherwise specified by Client
- During the term of this engagement and for a period of five (5) years after, Client agrees not to, directly or indirectly, initiate employment discussions with, hire or use in any way the services of an employee or contractor of Codeeyo or [L]earned Media. Client specifically agrees that a breach of this provision will entitle Codeeyo or [L]earned Media to damages in the amount of up to two hundred thousand dollars $200,000 per occurrence
- Codeeyo agrees that all materials, custom documentation, information and all other tangible or intangible products or works prepared for the Client or developed as a result of the services performed by the Codeeyo hereunder (collectively, the “Works”) shall, to the fullest extent permitted by law, be a contribution to a collective work or a compilation as defined in Section 101 of the United States Copyright Law, are specially ordered and commissioned for use as such, and shall be considered a work made for hire as defined in that section of the Copyright Law. The Client shall have sole, exclusive and unlimited ownership rights, title and interest in and to the Works, including the right to obtain, hold and render, in its own name, patents, copyrights, trademarks, service marks and other registrations
- Hours are valid for twelve (12) months following the date of purchase
By purchasing hours, I am an authorized representative of the Client and hereby agree to all of the terms and conditions set forth above.
